These Terms of Service (“Terms”) govern your access to and use of the website https://thefinancialist.co, the client and advisor portals at https://app.thefinancialist.co, our mobile application, and any other product, feature or service made available by us (collectively, the “Platform”), operated by Finfam Investment Advisors Private Limited under the brand name The Financialist (“we”, “us”, “our”).
By accessing, browsing, registering on or using the Platform in any manner, you (“you”, “your”, “User” or, where applicable, “Client”) acknowledge that you have read, understood and agree to be bound by these Terms, our Privacy Policy, and all applicable additional agreements (including the Investment Advisory Agreement and the Most Important Terms and Conditions referenced below).
If you do not agree to these Terms, you must not access or use the Platform.
This is an electronic record under the Information Technology Act, 2000 and does not require any physical, electronic or digital signature.

We are committed to operating the Platform with high ethical standards and appropriate internal controls, in accordance with the SEBI (Investment Advisers) Regulations, 2013 and other applicable laws.
2. Eligibility
To register for an account or avail of advisory services through the Platform, you must:
Be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872
Be a resident of India for tax and regulatory purposes, or, if a non-resident Indian, be eligible to receive advisory services under applicable foreign exchange and tax laws
Not be barred from receiving such services by any order or direction of SEBI, RBI, any court, tribunal or other competent authority
If you do not meet the eligibility criteria, you must discontinue use of the Platform immediately.
3. Scope of Services & Regulatory Status
The Financialist provides investment advisory and related financial planning services through the Platform. Our services may include:
Risk profiling and suitability analysis
Goal-based financial planning, including investment, tax, insurance, liability, retirement and succession planning
Portfolio review, recommendations and ongoing monitoring
Aggregation of your financial information through Consolidated Account Statements (CAS), the Account Aggregator framework and other sources, as described in our Privacy Policy
Educational content, calculators, tools and informational material
The Platform is offered by a SEBI Registered Investment Adviser. Our advice in respect of securities is regulated by SEBI. Where we provide guidance on products or services outside SEBI’s regulatory purview (such as insurance, loans, taxation and estate planning), no recourse is available to you against SEBI for grievances arising in respect of such products or services. This is more fully described in the Investment Advisory Agreement and the Declaration and Undertaking executed with you.
4. Account Registration and Security
When you create an account on the Platform, you agree to:
Provide true, accurate, current and complete information and keep it updated at all times
Maintain the confidentiality of your account credentials and not share them with any third party
Be solely responsible for all activity that occurs under your account
Notify us promptly at hello@thefinancialist.co of any unauthorised access, suspected breach, or compromise of your account
We may reasonably rely on the most recent information submitted by you. We are not liable for any loss or damage arising from your failure to keep your account secure or your information current.
We may refuse to create an account, or suspend or terminate an account, at our sole discretion in accordance with Section 14.
5. Risk Profiling, KYC and the Investment Advisory Agreement
Before we provide any investment advisory services, you will be required to:
Complete a risk profiling questionnaire and review the assessed risk profile communicated to you
Complete Know Your Customer (KYC) verification in accordance with SEBI and applicable AML/CFT requirements
Execute the Investment Advisory Agreement (IAA) with us, in the form prescribed by SEBI from time to time, which sets out the binding terms of the advisory relationship, the scope of services, the fee structure, refund mechanism, conflict-of-interest disclosures, and other particulars
The Investment Advisory Agreement, together with the Most Important Terms and Conditions (MITC) annexed to it, governs the substantive terms of the advisory relationship. To the extent of any conflict between these Terms and the Investment Advisory Agreement (including MITC) in respect of the advisory relationship, the Investment Advisory Agreement shall prevail.
We will not render any investment advice nor charge any advisory fee until you have signed the Investment Advisory Agreement.
6. Fees and Refunds
Fees for advisory services are set out in the Investment Advisory Agreement and on the Platform, and are subject to the fee limits prescribed by SEBI from time to time. Fees may be paid through cheque, NEFT/RTGS/IMPS, UPI, direct credit, the Centralised Fee Collection Mechanism (CeFCoM) operated by BSE, or any other mode permitted by SEBI. Cash payments are not accepted.
In the event of premature termination of the advisory relationship, refunds (if any) will be processed in accordance with the Investment Advisory Agreement and applicable SEBI circulars. We may retain a breakage fee of up to one quarter’s advisory fee as permitted by SEBI.
Fees once paid for completed services are non-transferable. All payments must be made from a bank account in your own name; we are not liable for delays or failures arising from payments routed through third-party accounts.
7. Communications and Consents
By registering on the Platform, you authorise us and our advisors, representatives and service providers to contact you via email, telephone, SMS, WhatsApp, in-app notifications and other electronic means in connection with your account, advisory services, regulatory communications, transactional updates and operational matters. This consent applies notwithstanding any DND/NDNC registration, in respect of service-related and transactional communications.
You may opt out of marketing communications at any time by using the unsubscribe link in such communications or by writing to hello@thefinancialist.co. Service-related and regulatory communications are essential to the advisory relationship and may continue regardless of marketing opt-out.
We may record advisory calls and meetings (audio, video and transcripts) for compliance, training and quality purposes, in accordance with SEBI requirements and our Privacy Policy.
8. Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner consistent with all applicable laws and regulations. You will not:
Use the Platform to upload, transmit or share any content that is unlawful, defamatory, obscene, infringing, threatening, harassing, or that violates the rights of any person
Attempt to gain unauthorised access to any portion of the Platform, other accounts, or our systems or networks
Use any automated means (bots, scrapers, crawlers) to access, copy or extract data from the Platform without our prior written consent
Reverse engineer, decompile, disassemble or attempt to derive the source code of any part of the Platform
Interfere with, disrupt or impair the integrity, security or performance of the Platform
Introduce any virus, worm, malware or other harmful code into the Platform
Use the Platform to harvest data of other users or to send unsolicited communications
Misrepresent your identity, affiliation or eligibility
Use the Platform for any purpose that is fraudulent, deceptive or in violation of any applicable law, regulation or SEBI direction
We reserve the right, without prejudice to our other remedies, to suspend or terminate your access in accordance with Section 14 if we believe you have breached this Section.
9. Third-Party Services and Integrations
The Platform may integrate with, link to, or rely on services provided by third parties, including but not limited to:
Google APIs (for Gmail-based CAS access, as described in our Privacy Policy)
RBI-licensed Account Aggregators and the AA ecosystem
KYC, AML and identity verification providers
Cloud, analytics, payments and communication providers
Your use of any third-party service is governed by the terms and privacy policies of that third party. We are not responsible for the availability, content, accuracy or behaviour of any third-party service, and we make no representations or warranties (express or implied) in respect of them. You should review the terms and privacy practices of any third-party service before using it.
10. Intellectual Property
All content, software, design, graphics, text, illustrations, logos, trademarks, service marks, audio, video, calculators, models, methodologies, financial plans, reports, recommendations and other materials made available on or through the Platform (the “Content”) are owned by, or licensed to, Finfam Investment Advisors Private Limited and are protected by Indian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your personal, non-commercial use of the Platform and for your engagement with us as a Client.
You may not copy, modify, reproduce, distribute, publish, display, transmit, sell, licence, create derivative works of, or otherwise commercially exploit any Content without our prior written consent. You may not remove or alter any copyright, trademark or other proprietary notice. Limited fair-use exceptions under applicable law are preserved.
The trademark “The Financialist”, the logo and related brand elements are the property of Finfam Investment Advisors Private Limited. Other trademarks referenced on the Platform are the property of their respective owners.
11. Confidentiality
In the course of using the Platform, you may receive or have access to non-public information relating to us, our methodologies, technology, business processes, pricing, and other proprietary information (“Confidential Information”). You agree to maintain the confidentiality of such information and not to disclose, reproduce or use it for any purpose other than your permitted use of the Platform.
Confidentiality obligations do not apply to information that is or becomes publicly available without breach of these Terms, was independently developed by you, or is required to be disclosed by law (in which case you will, where lawful, provide prompt notice to us).
The financial and personal information you share with us during the advisory relationship is treated as strictly confidential and handled in accordance with our Privacy Policy and the Investment Advisory Agreement.
12. Disclaimers and Risk Acknowledgement
You acknowledge and agree that:
Market risk: Investments in securities and financial products are subject to market risks. The value of investments can go up as well as down. Past performance is not indicative of future returns, and no advice provided by us guarantees, assures or implies any minimum, target or risk-free return.
Independent decisions: All investment and financial decisions are made by you on your own independent assessment. We do not have any obligation or ability to ensure that you act on our advice. The choice of products, allocation, tenure and timing of any investment is yours.
Suitability: Our advice is based on the information you provide and the risk profile assessed for you. If your circumstances or objectives change, you must update us so we can revise the advice accordingly.
Products outside SEBI’s purview: For products or services that do not fall within SEBI’s regulatory perimeter (including, but not limited to, insurance, loans, real estate, estate planning, and unregulated alternative assets), you will have no recourse to SEBI for grievances arising in respect of such products or services.
Tax and legal advice: We may provide general tax and legal guidance. You should seek independent professional advice from a qualified tax or legal advisor before acting on such guidance.
Platform availability: The Platform is provided on an “as is” and “as available” basis. We do not warrant that the Platform will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness or reliability of any third-party data displayed on the Platform.
No assurance from registrations: Registration with SEBI, enlistment with BASL/IAASB and certification from NISM do not guarantee our performance or assure any returns to you.
13. Limitation of Liability and Indemnity
To the maximum extent permitted by law, and without diluting any non-excludable rights you have under applicable consumer protection or other laws, neither we nor our directors, officers, employees, affiliates, agents or service providers shall be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, data, revenue, goodwill or other intangible losses, arising out of or in connection with:
Your access to, use of, or inability to access or use, the Platform
Any decision made or action taken by you based on information or services available on the Platform
Any third-party services or content accessed through the Platform
Any unauthorised access to your account resulting from your failure to safeguard your credentials
Force majeure events as described in Section 16
Nothing in these Terms limits or excludes liability arising from our fraud or wilful misconduct, or any liability that cannot, by law, be excluded.
Our aggregate liability to you for any and all claims arising out of or in connection with the Platform or these Terms shall not exceed the total advisory fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Finfam Investment Advisors Private Limited and its directors, officers, employees, affiliates, agents and service providers from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
Your use or misuse of the Platform
Your breach of these Terms, the Investment Advisory Agreement, or applicable law
Your violation of any third-party right
Any wilful, negligent or fraudulent act or omission on your part
14. Suspension and Termination
You may stop using the Platform at any time. You may terminate the advisory relationship in accordance with the Investment Advisory Agreement, including any notice period and refund mechanism specified therein.
We may suspend or terminate your access to the Platform, in whole or in part, with or without prior notice, if:
You breach these Terms or the Investment Advisory Agreement
We are required to do so by law, regulation or order of a competent authority
We reasonably believe your use of the Platform poses a security, legal, reputational or financial risk to us or other users
You become bankrupt, insolvent or subject to similar proceedings
Required for maintenance, security or operational reasons
Upon termination, the licences granted to you to access the Platform and Content shall cease. Provisions that by their nature are intended to survive termination — including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law, dispute resolution and grievance redressal — shall survive.
Deletion of your account on the Platform will be treated as termination of the advisory relationship, subject to applicable record-retention obligations.
15. Modifications to These Terms
We may update or modify these Terms from time to time. We will notify you of material changes through the Platform or by email. Changes take effect on the date stated in the revised Terms. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, your sole remedy is to discontinue use of the Platform.
16. Force Majeure
We shall not be liable for any delay, failure or interruption in the performance of our obligations under these Terms to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, strikes, governmental action, regulatory orders, internet or telecommunications outages, power failures, cyberattacks, or failures of third-party service providers. Our affected obligations shall be suspended for the duration of the force majeure event and shall resume as soon as reasonably practicable thereafter.
17. Grievance Redressal and Dispute Resolution
We are committed to resolving client concerns in a fair, transparent and timely manner, in accordance with SEBI (Investment Advisers) Regulations, 2013 and applicable SEBI circulars.

We will acknowledge your complaint within 7 working days and endeavour to resolve it within the timelines prescribed by SEBI.
Step 2 — SEBI SCORES:
If your grievance remains unresolved or you are not satisfied with our resolution, you may lodge your complaint on the SEBI Complaint Redress System (SCORES) at https://scores.sebi.gov.in.
Step 3 — Online Dispute Resolution:
If you remain dissatisfied, you may pursue Online Dispute Resolution through the Smart ODR portal at https://smartodr.in.
Arbitration (non-regulatory disputes):
Disputes that are not covered by the SEBI grievance redressal framework may, at our or your election, be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator. The seat and venue of arbitration shall be Mumbai, India, and the language shall be English. The arbitral award shall be final and binding on both parties.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Subject to Section 17, the courts at Mumbai, India shall have exclusive jurisdiction over all matters arising out of or in connection with these Terms.
19. Severability, Waiver and Assignment
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
No failure or delay by us to exercise any right or remedy under these Terms shall operate as a waiver of that right or remedy.
You may not assign, transfer or sub-licence your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a corporate restructuring, merger, acquisition or sale of business.
20. Entire Agreement
These Terms, together with the Privacy Policy, the Investment Advisory Agreement, the Most Important Terms and Conditions, and any other policy or agreement expressly incorporated by reference, constitute the entire agreement between you and us with respect to the Platform and supersede all prior or contemporaneous understandings, communications or agreements on the same subject matter.
